This Investor Agreement ("Agreement") is entered into between you ("Investor") and Paramount Digital Services ("Company"), the operator of PDS Engage Hub Investor Portal.
Nature of this Agreement: Your plan is a one-time paid subscription that unlocks platform capacity — leads, feature access, and support tier. It is not a financial investment product. This Agreement grants no share of Company revenue, no guaranteed or fixed monetary return, and no right to withdraw or be paid out any sum. "Investor" and "investment" are used here only as account and plan labels, consistent with the rest of this Portal.
1. Plan Categories
- Category A — Revenue Tools: Unlocks platform features aimed at growing your own business revenue — campaign tools, promotional placement, and analytics — at a level proportional to your plan. This is a feature entitlement only; it is not a share of Company revenue and pays out no money.
- Category B — Service Benefits: Investor receives access to verified WhatsApp contacts/leads commensurate with the invested plan level.
- Hybrid Plans: A combination of both Category A and B as specified in the chosen plan.
2. Plan Term & Activation
Plan terms begin on the date of confirmed Paystack payment and expire as specified per plan. Early exit forfeits remaining benefits. Renewals must be initiated before expiry date.
3. Benefit Activation
Plan benefits activate automatically upon confirmed payment. Category A (Revenue Tools) features and Category B (Service/leads) quotas are both made available within 48 hours of activation and remain active for the full term of your plan. No monetary distributions, dividends, interest, or payouts of any kind are made to the Investor under this Agreement, at any point during or after the plan term.
4. Upgrade & Credit Policy
Investors may upgrade their plan before expiry. The upgrade credit is calculated server-side as: daily_rate × remaining_days, applied automatically as a discount on the new plan cost.
5. Investor Obligations
- Maintain a valid, active investor account in good standing
- Not share, resell, or transfer received leads to third parties without authorisation
- Report any platform errors or discrepancies within 7 days of occurrence
6. Company Obligations
- Deliver agreed benefits within specified timeframes
- Maintain investor data security in accordance with the Privacy Policy
- Provide transparent analytics and reporting via the investor dashboard
- Process plan renewals, upgrades, and exits as described in the Terms of Service
7. Dispute Resolution
Any disputes arising under this Agreement shall first be submitted to the Company's support team for resolution. Unresolved disputes shall be referred to mediation under Nigerian law before any legal proceedings.
8. Acceptance
By completing payment and activating an investment plan, the Investor confirms they have read, understood, and agreed to this Investor Agreement, the Terms of Service, and the Privacy Policy.
